The following are the terms and conditions of the Hypercare Referral Program (the “Program”).
Eligibility of the Referrer
Referrers are defined as a healthcare organization (or an individual acting on behalf of an organization) who makes an introduction of a prospective client (the “referee”, defined below) to a Hypercare sales representative. Referrers do not necessarily have to be an existing customer of Hypercare. However, if they are an existing customer, they must be in good standing with Hypercare.
Eligibility of the Referee
Referees are defined as healthcare professionals or organizations that are not current Hypercare clients, nor are they an active sales prospect of Hypercare, but have a clear use case and desire for Hypercare products and services. The eligibility of a referee should be clarified and confirmed at the time of engagement by the referrer and Hypercare.
Information Sharing
Contact information submitted by the referrer in conjunction with the Program will be managed by Hypercare for the purposes of business development only. It will not otherwise be shared or sold for other purposes. By filling out the form, the referrer acknowledges that they have the authority and required consent to submit and share such information with Hypercare.
Referral Process
The following describes the general sequence of events in the referral program:
- A referrer contacts Hypercare by filling out the referral form via our website and schedules a call with a Hypercare sales representative.
- Hypercare reviews referral eligibility.
- If eligible, Hypercare will provide written confirmation of the eligibility of the referee to the referrer and formally engage with the referrer in the Program. The date on which written confirmation is provided will be referred to as the “Effective Date.”
- Referrers shall initiate and coordinate an initial meeting with key stakeholders and decision makers of the referee and Hypercare representatives.
- During the sales process, the referrer is expected to provide material support at the request of Hypercare to advance the potential business. This may include, but not limited to, correspondence with the referee, attending meetings with the referee, and other business development activities.
- In order to be eligible for compensation, the referee must sign a paid contract with Hypercare within two (2) years of the Effective Date.
- If after two (2) years from the Effective Date, or if the referee business opportunity is deemed to be Closed Lost (as defined by Hypercare), the referrer will lose claims to the referee compensation.
Modifications and exceptions to the above process can be made solely at the discretion of Hypercare.
Compensation
If the referee signs a paid business contract through the process above, the referrer is entitled to a credit to the next Hypercare invoice issued (or in the case where the referrer is not yet a paying Hypercare customer, the credit will be applied to the first invoice issued). The amount of credit will be the greater of either 5% of the first year annual contract value or 50% of the implementation fee for a new customer, excluding taxes. The credit will be applied only after the referee makes its first payment in conjunction with the new business generated.
The compensation cannot be transferred nor does it have cash value.
